1. About these Terms

These Terms govern interior design, visual concept, space-planning, specification, sourcing, consulting and related professional services supplied by SIA “Visual Communication Group”, trading as ADESIGN BUREAU (“ADESIGN”, “we”, “us”). Registration number: 40203098040. Registered office: Dzirciema iela 119C, Rīga, LV-1055, Latvia. Email: adesign@adesign-bureau.com.

By placing an order, you confirm that the order information is accurate and that you have authority to enter into the contract. If you act for a company, “you” includes that company. A consumer is a natural person acting outside a trade, business or profession.

2. Scope of each service

The exact service, property, deliverables, exclusions, price, payment schedule and delivery timetable are stated in the proposal, quotation, order summary, invoice or other written document we send for the individual engagement (“Order Documents”). The website describes our capabilities but is not by itself an offer to supply a particular service.

Unless an Order Document expressly says otherwise, our services do not include surveys, verified measurements, structural or engineering design, building-control or regulatory approvals, contractor supervision, construction works, legal advice or other regulated professional services.

If an Order Document conflicts with these Terms, the Order Document prevails for the service-specific commercial details, while mandatory law always prevails.

3. Materials and acceptance

You must provide the materials we request by email and confirm that you are entitled to provide and use them. Please do not provide unnecessary sensitive personal data or personal data about third parties.

After the service and commercial terms have been set out in the Order Documents, we may ask you to accept them in writing or through an electronic acceptance method we provide. We may decline an enquiry before a contract is concluded, including where we lack capacity, the scope is unsuitable or a legal or tax check is incomplete.

Electronic project materials are deleted promptly after completion of the service, subject to any limited retention required by law or a documented dispute. Printed working materials are securely destroyed after completion.

4. Price and tax

The price, currency, payment schedule and whether VAT is included or added are stated in the applicable Order Documents before the contract is concluded. Prices are engagement-specific.

The tax treatment is confirmed for the individual engagement after we know the relevant country or countries and, where necessary, the customer’s status and valid tax information. You must provide accurate billing and tax information. We may withhold an invoice or payment link until the treatment is confirmed.

5. Contract formation and payment

Before a consumer is bound, we provide the applicable Order Documents and access to these Terms, the Payment, Refund and Cancellation Policy, Privacy Policy and Withdrawal Notice.

The contract is concluded when you accept the applicable Order Documents in writing, including by email, or through an electronic acceptance method we provide. We may then issue an invoice or send an individual Stripe payment link. Payment does not by itself change the agreed scope or terms. We send confirmation on a durable medium, normally by email.

Payment may be made by bank transfer or, where offered for the individual engagement, through a Stripe-hosted payment link sent directly to the client. Payment instructions are stated in the applicable Order Documents.

6. Delivery

The timetable and delivery method are stated in the Order Documents. Unless otherwise agreed, a timetable starts only after the agreed initial payment, receipt of all requested materials and our written confirmation that the materials are sufficient to begin.

If the client delays a decision, approval, payment or required material, affected dates are extended reasonably. Delivery occurs using the method stated in the Order Documents, usually by email or another agreed channel.

7. Changes and third-party costs

Work outside the agreed scope requires written agreement and may change the price and timetable. A quotation is valid for the period stated in it; after expiry, availability and prices may change.

Third-party products, contractors, delivery, travel, samples, licences and similar costs are included only where the Order Documents expressly say so. Third-party contracts may be subject to separate terms.

8. Client responsibilities

You are responsible for the accuracy, completeness and lawfulness of submitted materials, timely decisions and approvals, and decisions made using our deliverables. You must not rely on our work as architectural, structural, electrical, building-control, safety or other regulated technical advice unless the applicable Order Documents expressly include such work by a suitably qualified professional.

You must obtain appropriate measurements, technical advice, permissions and professional approvals before purchasing, constructing or altering anything. Product availability, third-party prices and legal requirements may change.

9. Intellectual property and permitted use

Except for third-party materials, all transferable copyright and other economic intellectual-property rights in deliverables created by us remain with SIA “Visual Communication Group”. Upon full payment of all amounts due for the relevant deliverable, we grant you a non-exclusive, worldwide, perpetual licence to use and copy it for the property and purpose identified in the Order Documents and to share it with advisers, designers, contractors, suppliers and other participants for that project.

You may not sell a deliverable as a standalone product, claim authorship, remove rights notices or use it for a different property without written permission. Third-party materials remain subject to their own rights.

We will not publish client or project materials in our portfolio or social media unless you give separate consent. Refusing or withdrawing consent does not affect the service contract.

10. Withdrawal, cancellation and refunds

Consumers have the statutory rights described in the Withdrawal Notice. If you expressly request performance during the 14-day withdrawal period, we may begin before that period ends. The statutory right is lost only after the service has been fully performed, provided the required request and acknowledgement were given.

If a consumer withdraws after requested performance has begun but before completion, the consumer must pay only for the part of the service supplied up to withdrawal, where permitted by law. The amount is calculated in proportion to the total price agreed in the contract or, if that price is excessive, using the market value of the part already supplied. Other cancellations and refunds are governed by the Payment, Refund and Cancellation Policy.

11. Conformity and remedies

We will perform the service with reasonable professional care and in accordance with the agreed description. Nothing in these Terms excludes or limits mandatory consumer rights. If you believe the service does not conform to the contract, contact us promptly and describe the issue.

12. Liability

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for intentional misconduct or mandatory consumer remedies.

Subject to the preceding sentence, we are not responsible for third-party acts, contractor execution, inaccurate client materials, undisclosed site conditions, technical or regulatory matters outside the agreed scope, or purchasing or construction decisions made without the required independent checks.

13. Events outside reasonable control

We are not liable for delay caused by an event outside our reasonable control. We will contact you, take reasonable steps to reduce the effect and provide any cancellation or refund right required by applicable law if performance becomes impossible or is materially delayed.

14. Complaints and dispute resolution

Please send complaints to adesign@adesign-bureau.com with your order number or project reference. We will provide a reasoned written response within 15 working days.

An eligible consumer who cannot resolve a complaint directly may contact the Latvian Consumer Rights Protection Centre and, where applicable, the Consumer Dispute Resolution Commission.

15. Governing law and courts

These Terms and the contract are governed by the laws of Latvia. If you are a consumer, this choice does not deprive you of mandatory protection granted by law that would apply without this choice. Courts have jurisdiction as determined by mandatory applicable law.

16. General

If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. We will not transfer a consumer contract in a way that reduces mandatory rights.

The contract language is English.
